Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MintNoir website and the purchase of digital collectibles offered on it (the “Service”), operated by Promode Tech Solutions AB (org. no. 556603-0093), registered at Gamla Brogatan 19, 111 20 Stockholm, Sweden (“MintNoir”, “we”, “us”). By using the Service or buying a collectible, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter a contract. You may not use the Service if you are located in, or a resident of, a sanctioned jurisdiction, or if you appear on any applicable sanctions or watch list.

2. What you are buying

MintNoir sells digital collectibles - non-fungible tokens (NFTs) representing original digital artwork. A collectible is a collectible, not a financial product. You are buying it for personal enjoyment and ownership, not as an investment. We make no promise or representation that a collectible will hold or increase in value, and nothing on the Service is investment, financial, tax, or legal advice.

3. Ownership and intellectual property

When you purchase a collectible, you own the underlying token on the blockchain. Separately, we grant you a worldwide, non-exclusive, royalty-free license to use, copy, and display the associated artwork for your own personal, non-commercial purposes for as long as you own the token. MintNoir and its artists retain all copyright and other intellectual property rights in the artwork. You may not use the artwork to imply endorsement, to create competing collections, or in any unlawful or infringing manner.

4. Payments and fees

Prices are shown in the currency displayed at checkout and include any stated service and network fees. Payment is processed by our third-party payment providers; by paying, you authorize the charge and agree to the provider’s terms. You are responsible for any taxes applicable to your purchase.

5. Delivery and custody

After your payment clears, we mint your collectible on the blockchain and either send it to a wallet address you provide or hold it for you in secure custody, at your choice. Custodied collectibles can be withdrawn to a wallet you control at any time, subject to identity checks (see our Refund & AML Policy).

6. Blockchain risks

Blockchain transactions are, by nature, irreversible. You are responsible for the accuracy of any wallet address you provide; we are not liable for assets sent to an incorrect address. You understand that the value of digital assets can be volatile and that regulatory, technical, and market conditions may affect the Service.

7. Prohibited conduct

• Using the Service for money laundering, terrorist financing, fraud, or any unlawful purpose.
• Attempting to bypass identity, security, or geographic restrictions.
• Interfering with the Service, the smart contracts, or other users.

8. Compliance

We operate an identity-verification (KYC) and anti-money-laundering (AML) program and may request information, delay, refuse, refund, or reverse any order, and restrict withdrawals, where required to comply with law or manage risk. See our Refund & AML Policy and Privacy Policy.

9. Disclaimers and limitation of liability

The Service and collectibles are provided “as is” without warranties of any kind. To the maximum extent permitted by law, MintNoir is not liable for indirect, incidental, or consequential damages, and our total liability is limited to the amount you paid for the collectible at issue.

10. Governing law

These Terms are governed by the laws of Sweden, and disputes are subject to the exclusive jurisdiction of its courts, without prejudice to any mandatory consumer-protection rights you may have.
